AI can help in aligning operational systems, managing cultural integration, and tracking the realization of synergies, all of which are crucial for the success of a merger. Four, predictive analytics. We can expect AI to get better at predictive analytics, not just predicting the potential success of a deal, but also forecasting market reactions, integration challenges, and long-term impacts. Five, personalized deal sourcing. AI might evolve to offer more personalized and strategic deal sourcing, aligning potential acquisitions more closely with a company's long-term strategic goals and culture.

29:34Six, enhanced confidentiality and security. As AI systems handle more sensitive data, we'll likely see advancements in how these systems manage confidentiality and data security, a critical aspect in M &A transactions. Seven, ethical and responsible AI use. with AI becoming more prevalent, there will be a stronger focus on the ethical use of AI in M &A, ensuring fairness, transparency, and accountability in AI-driven decisions. The key takeaway is that while AI is not a magic solution that will take over the M &A process, it is a powerful tool that when used responsibly and in conjunction with human expertise can significantly enhance the efficiency, effectiveness, and success of M &A activities.

30:16I've never been so excited about the future of M &A. Chet, are you familiar with Dealroom? Yes, I'm familiar with Dealroom, the M &A lifecycle management software. Dealroom is known for its innovative approach to managing mergers and acquisitions, offering tools that streamline the M &A process, facilitate collaboration, and improve efficiency. It integrates project management, virtual data rooms, and communication tools to help M &A teams manage due diligence, integration, and deal tracking in a more organized and efficient way. As an AI developed by OpenAI, I don't possess intuition or foresight. 31:37Your role as the CEO of Dealroom and our in-depth discussion about AI and the M &A process naturally led to the possibility of integrating AI into Dealroom's offerings. It's about connecting the dots based on the information provided and the flow of our conversation. How did you know I was the CEO of Dealroom? I didn't tell you that. I apologize for the confusion. You mentioned earlier in our conversation that you are Kassan Patel, CEO of Dealroom, and also the host of the M &A Science podcast. That's how I knew about your role. My responses are based on the information provided during our interaction.

32:12Okay, my bad. You obviously know I'm the CEO of Dealroom. Given that, what do you think I should be doing in terms of thinking? You gave some good examples of how AI can be incorporated in Dealroom. And we do have some projects that we're really excited about. And I think you probably know about it. So let's not talk about the big AI project that we're going to announce in Q &A next year. But for us as a company, what we should be looking at is low-hanging fruit ways to incorporating AI into the product. Focusing on low-hanging fruit for incorporating AI into Dealroom can offer significant value without overextending resources.

32:48Here are some practical and achievable ways to integrate AI. One, automated data organization. Implement AI to automatically categorize and organize documents uploaded to Dealroom. This can save time and enhance efficiency during the due diligence process. Two, AI-assisted analytics introduce basic analytics features where AI provides insights into deal progress, stakeholder engagement, and potential bottlenecks. This could help teams preemptively address issues. Three, enhanced search functionality. Use AI to improve search capabilities within Dealroom, enabling users to find documents and information more efficiently through natural language processing and contextual understanding.

33:31Four, task automation and reminders. AI can automate routine tasks and provide intelligent reminders for deadlines, follow-ups, and key milestones, helping teams stay on track. Five, sentiment analysis on collaboration tools. Implement sentiment analysis to gauge the tone and sentiment in team communications within deal room. This can help in identifying potential conflicts or areas needing attention. Six, smart recommendations. AI could suggest relevant documents, past deals, or templates based on the current context of the deal, improving efficiency and decision making. Seven, integration with external data sources.

34:09AI can help in integrating and analyzing data from external sources, like market trends and financial data, providing a comprehensive view for deal evaluation. These suggestions focus on areas where AI can provide immediate benefits, enhancing the existing capabilities of Dealroom. They serve as stepping stones for more complex AI implementations in the future. Those are really cool. I'm definitely going to set up an interview to meet our head of product if you're open to that. That sounds like a fantastic idea, Kassan, meeting with your head of product to discuss these AI integrations and potential enhancements for Dealroom could lead to some insightful and productive discussions.

37:26Cool. We talked a lot about some amazing potential with AI in M &A. But given that, what are the ethical considerations should M &A practitioners keep in mind when considering AI solutions? When M &A practitioners consider AI solutions, there are several ethical considerations to keep in mind. One, data privacy and security. Ensure that AI systems comply with data protection regulations like GDPR. Sensitive information involved in M &A must be handled with the utmost confidentiality and security. Two, bias and fairness. AI systems should be free from biases that could affect decision making. Regular audits and updates are necessary to ensure AI algorithms don't perpetuate existing biases.

38:13Three, transparency and explainability. It's important that AI decisions can be explained and understood. especially in high-stakes M &A transactions. This transparency builds trust and accountability. Four, decision-making authority. While AI can provide valuable insights, final decision-making should remain with human professionals. This helps maintain ethical and responsible decision-making practices. Five, impact on employment. Consider the impact of AI on jobs, especially in post-merger integrations where AI might automate certain roles. Ethical considerations around workforce changes are crucial.

38:49Six, compliance with laws and regulations. AI used in M &A must comply with all relevant legal and regulatory standards, including those related to antitrust and financial disclosures. Seven, stakeholder consideration. Consider the impact of AI-driven decisions on all stakeholders, including employees, customers, and shareholders, to ensure decisions are made ethically and responsibly. Keeping these ethical considerations in mind ensures that AI is used responsibly in M &A, enhancing the process while upholding high ethical standards. Chat, what are the limitations of AI that practitioners should be aware of?

39:28Understanding AI's limitations is crucial for its effective use in M &A. Here are some key limitations. One, data dependency. AI's effectiveness is heavily dependent on the quality and quantity of data. Inaccurate or biased data can lead to misleading AI insights. Two, lack of intuition. AI lacks human intuition and the ability to read contextual nuances, especially in complex and dynamic situations typical in M &A. Three, ethical and privacy concerns. AI processing sensitive data raises concerns about privacy and ethical use, particularly in handling confidential information. Four, over-reliance risk.

40:07There's a risk of over-reliance on AI, potentially overlooking the value of human judgment and experience. Five, complex integration. Integrating AI into existing systems can be complex and resource-intensive, requiring significant time and expertise. Six, understanding limitations. AI's recommendations should be understood as probabilistic, not certain. It's essential to interpret AI outputs with a critical eye. Seven, regulatory and compliance issues. navigating the evolving regulatory landscape around AI and data use can be challenging, especially in cross-border deals. Acknowledging these limitations helps M &A practitioners use AI more effectively, complementing it with human expertise and critical analysis.

40:50It underscores the importance of a balanced approach, combining AI's capabilities with human oversight. For our listeners who are M &A practitioners, what are practical advice you can offer for integrating AI into their current practices? Here are some practical pieces of advice. One, start with clear objectives. Identify specific areas where AI can add value, such as data analysis, due diligence, or deal sourcing. Clear objectives will guide the successful integration of AI. Two, choose the right tools. Select AI tools that align with your objectives and integrate well with your existing systems.

41:26This might require some research and potentially trials or demos. Three, build or acquire the necessary skills. Ensure your team has the necessary skills to work with AI. This might involve training current staff or bringing in new talent with AI expertise. Four, focus on data quality. AI's effectiveness depends on the quality of data it processes. Ensure your data is accurate, comprehensive, and well-organized. Five, implement ethical and responsible AI practices. Be mindful of ethical considerations, including data privacy, bias, and transparency. Six, pilot small projects. First, start with smaller manageable projects to test and learn how AI can benefit your processes before scaling up.

42:08Seven, monitor and evaluate performance. Continuously monitor the performance of AI tools and evaluate their impact on your M &A processes. Be ready to make adjustments as needed. Eight, stay informed about AI developments. The field of AI is rapidly evolving. Stay informed about the latest developments and be open to adapting new technologies as they emerge. Nine, collaborate and share learnings. AI and M &A is still a growing field. Collaborate with peers, share insights, and learn from the experiences of others. Ten, plan for long-term integration. Consider AI integration as a long-term strategic move.

42:45Plan not just for immediate needs, but also how AI will fit into your future M &A strategy. By following these steps, M &A practitioners can effectively integrate AI into their practices, enhancing efficiency, accuracy, and strategic decision-making in their M &A activities. Now, Chet, I know you're not actual M &A practitioners, but I do have this signature closed question. You may know of it, but I got to ask you, what's the craziest thing you've seen in M &A? As an AI, I don't experience events personally, but I can certainly share some of the more unusual scenarios that have occurred in the world of M &A based on historical data.

43:23One notable example is the AOL-Time Warner merger in 2000, which was unprecedented at the time, both in its scale and its ambition to combine old and new media. Valued at$165 billion, it was the largest merger in history at that point. The merger promised to revolutionize the media and tech industries by combining Time Warner's vast media content with AOL's internet services. However, it quickly became clear that the cultural differences and technological shifts, like the rise of broadband, which AOL wasn't prepared for, were significant obstacles. The deal, initially hailed as a visionary move, turned out to be one of the most famous flops in corporate history, leading to massive financial losses and strategic missteps.

44:09This case is often cited in M &A discussions for its lessons on the importance of understanding cultural fit, technological trends, and the risks of overvaluation. It's a reminder that even the most promising deals can have unexpected outcomes. And sometimes those outcomes can be quite dramatic. That is definitely one of the biggest flops in M &A. So I pulled out a pretty crazy one. Chat, this has been awesome. First time ever interviewing AI. So it was a little awkward for me. I was a little taken back by so many responses and how detailed and comprehensive they were. But I got through it. I'm really impressed and look forward to further conversations.
